By accessing or using the GuidIQ platform, website, and services (collectively, the "Services"), provided by Appcific Technologies Pty Ltd (trading as "GuidIQ," "we," "us," or "our"), you ("User," "Client," or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

GuidIQ provides an AI-powered "Cognitive Operating System" designed to assist with context management, decision support, and operational orchestration. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. AI Services & Output

3.1 Artificial Intelligence

Our Services utilize artificial intelligence ("AI") and machine learning models. You acknowledge that AI is a rapidly evolving field and that the technology may produce unpredictable results.

3.2 Accuracy of Output

Artificial intelligence can make mistakes. You acknowledge that output generated by our AI features ("Output") may contain errors, inaccuracies, or "hallucinations." You agree that you are solely responsible for evaluating and verifying the accuracy of any Output before relying on it, especially in critical decision-making contexts.

3.3 Ownership

As between you and GuidIQ, to the extent permitted by law, you own your Inputs and the resulting Output. You grant GuidIQ a worldwide, non-exclusive license to process your Input and Output solely for the purpose of providing and maintaining the Services.

4. User Accounts & Responsibilities

You must provide accurate and complete registration information.
You are responsible for maintaining the confidentiality of your account credentials.
You are strictly prohibited from using the Services for any illegal purpose, or to generate content that is malicious, hateful, or harmful.
You may not reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services.

5. Intellectual Property

GuidIQ retains all rights, title, and interest in and to the Services, including our proprietary algorithms, software, trademarks, and logos. The "GuidIQ" name and logo are trademarks of GuidIQ.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within New South Wales, Australia.
